Mergers and Acquisitions
We have extensive experience in handling all aspects of mergers and acquisitions. We work with our clients in negotiating, drafting and refining the terms of agreements to meet their objectives. From due diligence, to navigating the SEC, to Hart-Scott-Rodino filings, to advance rulings from the IRS, we involve attorneys from all necessary disciplines to close the deal on the client's time table.

Public Finance
McCandlish Holton serves as bond counsel and underwriters’ counsel in connection with the issuance and sale of tax-exempt bonds. The firm also serves as counsel to private entities seeking industrial development bond financing.

Real Estate
McCandlish Holton represents a variety of commercial real estate developers, investors, owners and lenders. Our represent negotiations of purchase agreements, leases, easements, loan documents and other acquisition and financing documents as well as interaction with government officials in zoning, land use and environmental matters. Furthermore, we are experienced in the acquisition, development and financing of multi-tenant residential and office projects, as well as large and small scale retail and industrial sites. We have particular expertise with health care and telecommunications facilities. Securities Law
McCandlish Holton offers its clients extensive expertise with respect to federal and state securities laws applicable to corporations, broker/dealers, investment advisers, limited partnerships, and limited liability companies. Lawyers in the firm have structured syndications of apartment projects, hotels, mini-warehouses, and start-up companies for clients, including rendering advice on tax and economic benefits. We negotiate with venture capital firms on behalf of our clients. Additionally, in connection with syndications or venture capital financing of corporate securities, our lawyers advise clients on investments structuring in terms of common stock, preferred stock, debentures, warrants and units composed of a mixture of all or some of these securities. For more established companies, the firm offers securities advice with respect to stock exchange membership requirements, SEC registration requirements and subsequent obligations, public offerings, and sales of restricted securities.
